Terms and Conditions for Simple Commenter

Welcome to Simple Commenter! These Terms and Conditions ("Terms") govern your access to and use of the Simple Commenter application, website, and services (collectively, the "Service") provided by Ander Digital OÜ. By purchasing, accessing, or using the Service, you agree to be bound by these Terms.

1. Description of Service

Simple Commenter is a tool designed to facilitate the gathering of website feedback and design insights. It allows website owners ("Users") to install a code snippet on their websites, enabling their clients or visitors ("Commenters") to leave comments, annotations, and markups directly on the live website via a preview URL or the live site itself. This eliminates the need for exchanging static files like PDFs for feedback purposes.

Key features include:

  • Direct commenting and annotation on webpages.
  • Compatibility with numerous Content Management Systems (CMS) and frameworks, including Next.js, Vue, WordPress, Shopify, Carrd, Webflow, Bubble, Wix, and others where a script can be added.
  • Mobile compatibility for viewing and adding comments on the go.
  • Ability to reply directly to individual comments.
  • A dashboard for Users to view and manage comments.

2. Eligibility and Account

To use Simple Commenter as a User, you must log into a Simple Commenter account, add your website domain(s), and install the provided custom script onto your website(s). You are responsible for maintaining the confidentiality of your account information.

Commenters leaving feedback on a User's website are generally not required to register or create an account, allowing for easy feedback submission. Future features may introduce different requirements.

3. Installation and Use

Using Simple Commenter requires copying and pasting a small code snippet into the <head> section of your website's HTML. No coding knowledge beyond this is required. Instructions are provided upon adding your domain within your Simple Commenter account.

The Service is designed to work with live websites. When you update your website's content (text, images, colors), Simple Commenter should continue to function normally. However, significant changes to the website's layout or structure may cause existing comments, which are attached to specific HTML elements, to become detached or misplaced. It is recommended to resolve or archive comments before making major structural changes to your website. Simple Commenter is not responsible for comments lost or misplaced due to website modifications made by the User.

4. License and Scope of Service

Simple Commenter may be offered via different plans, including a One-Time Purchase ("Lifetime" License) and recurring Subscription Plans.

  • One-Time Purchase / "Lifetime" License: If you purchase a lifetime license, this pertains specifically to the features and functionalities available within Simple Commenter at the time of your purchase. We commit to providing updates necessary to ensure the continued operation and smooth running of these specific purchased features for the reasonable lifespan of the product.
  • Subscription Plans: If you subscribe to a plan, you are granted a non-exclusive, non-transferable, revocable license to use the features associated with that specific plan for the duration of your active subscription period, subject to these Terms.
  • Future Features: Ander Digital OÜ reserves the right to develop and offer new, distinct features, significant enhancements, or add-ons (e.g., file uploads, advanced integrations) in the future. These new developments may fall outside the scope of the original lifetime purchase and may be offered under separate pricing tiers, subscription models, or as optional paid add-ons. Your purchase (whether lifetime or subscription) guarantees access only to the features explicitly included in your chosen plan at the time of purchase or during your active subscription period.

5. Payments, Refunds, and Cancellation

  • One-Time Purchase:
    • Payment: Available as a single, upfront payment.
    • Refunds: We offer a 14-day money-back guarantee for the One-Time Purchase. If you are unsatisfied within 14 days of your payment date, you may request a full refund by contacting us at simplecommenter@ander.ee. No questions will be asked.
  • Subscription Plans:
    • Billing: In the future, Simple Commenter may be offered via recurring subscription plans (e.g., monthly, annually). Subscription fees will be billed in advance on a recurring basis (at the beginning of each billing cycle) according to the chosen plan.
    • Automatic Renewal: Subscriptions will automatically renew at the end of each billing cycle unless cancelled by you prior to the renewal date.
    • Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of the current paid billing period. You will retain access to the subscription features until the end of that billing cycle.
    • Refunds: The 14-day money-back guarantee described above applies only to the initial payment for a new subscription plan. If you request a refund within 14 days of starting your first subscription period, you will receive a full refund. Beyond this initial 14-day period, all subscription fees are non-refundable. We do not provide refunds or credits for any partial subscription periods, downgrades, or unused time remaining after cancellation takes effect at the end of the billing cycle.
    • Fee Changes: Ander Digital OÜ reserves the right to change the subscription fees. Any fee changes will be communicated to you in advance (e.g., with at least 30 days' notice) and will only apply to subsequent billing cycles following the notice period. Your continued use of the Service after the fee change comes into effect constitutes your agreement to pay the modified subscription fee amount.

6. User Responsibilities

As a User of Simple Commenter, you agree to:

  • Install the script correctly according to the provided instructions.
  • Use the Service in compliance with all applicable laws and regulations, including data privacy laws regarding the information collected through comments.
  • Manage comments received through the Service appropriately.
  • Not use the Service for any unlawful or prohibited purpose.
  • Ensure that your website's use of Simple Commenter does not infringe upon the rights of any third party.
  • Adhere to any future usage limits associated with your purchased or subscribed plan if and when such features are implemented.
  • Ensure timely payment of any applicable subscription fees to maintain access to subscription-based services.

7. Intellectual Property

The Service, including the Simple Commenter application, website, code, design, and all related materials, are the exclusive property of Ander Digital OÜ and its licensors, protected by copyright and other intellectual property laws. Your purchase or subscription grants you a license to use the Service, not ownership of it.

Content generated by Commenters (comments, annotations) on your website through the use of the Service belongs to you or the respective Commenters as per your own website's policies, but you grant Ander Digital OÜ the necessary rights to transmit, store, and display this content solely for the purpose of providing the Service.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Ander Digital OÜ does not warrant that the Service will be uninterrupted, error-free, secure, or that comments will always remain perfectly aligned following website changes made by the User.

9. Limitation of Liability

To the fullest extent permitted by law, Ander Digital OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.

10. Termination

  • By Us: Ander Digital OÜ may terminate or suspend your access to the Service (or specific plan features) immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or fail to pay applicable subscription fees.
  • By You: You may stop using the One-Time Purchase service at any time by removing the script. You may cancel your Subscription plan as described in Section 5.

Provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions (Section 7), warranty disclaimers (Section 8), indemnity, and limitations of liability (Section 9), payment obligations accrued prior to termination, and license scope definitions related to past purchases (Section 4). Upon termination of a subscription, your access to subscription-specific features will cease at the end of the final paid billing period.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material (e.g., impacting core license terms, pricing structures, refund policies, or significantly altering the service scope), we will endeavor to provide reasonable notice (such as 30 days) prior to any new terms taking effect, potentially via email or a notice on our website. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
